CityChat for Business Terms of Service

These terms govern the use of the CityChat for Business portal (business.citychat.pl) and the presentation and promotion of places in the CityChat app. They constitute the "regulamin" required by art. 8 of the Polish Act of 18 July 2002 on Providing Services by Electronic Means (consolidated text: Dz.U. 2024 item 1513) and the terms and conditions within the meaning of Regulation (EU) 2019/1150 (the P2B Regulation). This English version is provided for convenience; the Polish version prevails.

§1. Provider and definitions

  1. The provider is Applied AI sp. z o.o., registered office in Przemyśl, ul. Marcina Bielskiego 44C lok. 15, 37-700 Przemyśl, Poland, entered in the register of entrepreneurs of the National Court Register kept by the District Court in Rzeszów, 12th Commercial Division, under KRS no. 0001187092, NIP (tax ID) 7952588091, REGON 542377802, share capital PLN 5,000.   2. Definitions:
    • App — the CityChat mobile app (a consumer city guide);
    • Portal — the CityChat for Business service at business.citychat.pl;
    • Business — an entrepreneur who registered a Portal account in connection with their business activity; these terms apply to entrepreneurs only (B2B);
    • Place Profile — the presentation of the Business's venue in the App;
    • Price List — the current prices and scope of paid plans, available in the Portal under "Plans & pricing".

§2. Types and scope of services

  1. Free services (the "Verified" plan): Business account registration, claiming (verification of) a Place Profile, the verified badge in the App, editing opening hours, and adding and managing photos.
  2. Paid services:
    • Premium — additionally: editing the description and tagline, a menu link on the profile, profile statistics, and promoted placement in the venue's category;
    • Premium + Geo — additionally: push notifications to App users near the venue (geofencing), and an elevated exposure priority — places on the Premium + Geo plan have a 2× higher priority in the draw for the featured slot in Discover: when several venues compete for the slot, they appear about twice as often as places on the Premium plan. Push notifications are delivered within anti-spam limits protecting App users: an App user receives at most a few nearby notifications a day, with breaks between them and no more than one a day from any single venue, and where several venues with active push notifications are located close together, the App rotates deliveries between them. The number of notifications delivered therefore depends on foot traffic and on other promoted venues nearby;
    • Premium + Geo + Hero — additionally: participation in the draw for the featured ("hero") slot at the top of the Discover view. The hero slot is a single shared placement: where several venues hold this plan or individual promotional agreements are in force, the App rotates the slot between them (individually agreed placements may appear more often). The frequency of appearances therefore depends on other promoted venues nearby.
  3. The detailed, current scope of the plans and the prices are set out in the Price List. Promoted content is marked as sponsored in the App.

§3. Technical requirements and prohibition of unlawful content

  1. Using the Portal requires a web browser with JavaScript and an active e-mail address (magic-link sign-in).
  2. Supplying unlawful content, including content infringing third-party rights, is prohibited.

§4. Conclusion of the contract and verification

  1. The contract for free services is concluded upon registration of a Portal account (providing the company name, NIP, and e-mail address, and accepting these terms), for an indefinite period.
  2. Claiming a Place Profile requires verification by the provider. The provider may refuse or revoke verification if the Business cannot demonstrate its connection with the venue or provides untrue data; a refusal includes reasons and is delivered by e-mail.
  3. The Business warrants that the data provided at registration and in the Place Profile is true and up to date.

§5. Paid services, prices, and payments

  1. Paid plans are activated upon an order placed through the Portal or by e-mail. The provider issues an invoice; the plan is activated once the payment (bank transfer) is credited, for the paid period.
  2. Prices are set out in the Price List. Prices are final — the provider is exempt from VAT under art. 113(1) of the Polish VAT Act of 11 March 2004 (consolidated text: Dz.U. 2025 item 775). If the exemption is lost, the Price List will be updated accordingly, without affecting periods already paid for.
  3. Available periods: 1, 3, or 12 months, with discounts indicated in the Price List.
  4. Paid plans do not renew automatically — a plan expires at the end of the paid period and the account returns to the free plan. An extension requires a new order and payment.
  5. Price List changes do not affect periods already paid for.

§6. Ranking in the App

The main parameters determining the order and visibility of places in the App are:

  1. relevance to the App user's query or selected category (how well the Place Profile content matches),
  2. distance between the venue and the user's location,
  3. completeness and quality of the Place Profile data (e.g. opening hours, photos, description),
  4. paid promotion (Premium / Premium + Geo / Premium + Geo + Hero plans) — promoted places may be shown higher or additionally highlighted within their category, always with a "sponsored" label.

Relevance and distance carry the greatest relative weight, because the App's purpose is to give users accurate answers about their surroundings; paid promotion does not override relevance (irrelevant content is not promoted above relevant content) but increases visibility among comparably relevant results.

§7. Business content and licence

  1. The Business grants the provider a free, non-exclusive licence to use the content placed in the Place Profile (including photos and descriptions) to the extent necessary to provide the services: displaying it in the App and the Portal and presenting the App (e.g. screenshots).
  2. The Business represents that it holds the rights to the content it uploads and that the content does not infringe the law or third-party rights; for photos this includes having the consent of identifiable persons shown in them to the use of their image, where such consent is required. The Business bears sole responsibility for the content it supplies (including photos, descriptions, opening hours, and the text of push notifications). If a third party raises claims against the provider in connection with content supplied by the Business, the Business shall reimburse the provider for the resulting documented damages and costs, including reasonable costs of legal defence.
  3. The provider may refuse to publish or may remove content that violates these terms or the law, informing the Business with reasons.

§8. Restriction, suspension, and termination

  1. The provider may restrict or suspend the services provided to the Business (including the visibility of the Place Profile) if the Business violates these terms or the law. A statement of reasons is delivered by e-mail (durable medium) at the latest when the restriction or suspension takes effect.
  2. Termination of all services by the provider takes place with 30 days' prior notice and a statement of reasons delivered by e-mail. The notice period does not apply where immediate termination is required by law or where the Business has repeatedly violated these terms.
  3. The Business may terminate the contract at any time (account deletion — by e-mail to [email protected]). If, at the time of termination for reasons attributable to the provider, a paid plan period is running, the provider refunds the part of the fee proportional to the unused period. No refund is due where the services were terminated because the Business violated these terms.
  4. In the event of restriction, suspension, or termination, the Business may clarify the circumstances through the complaint procedure (§9); if the decision is reversed, the provider reinstates the services without undue delay.

§9. Complaints

  1. Complaints about the Portal and the services can be submitted to [email protected].
  2. The provider responds within 14 days of receiving the complaint.

§10. Liability

  1. The provider strives to keep the Portal and the App available without interruption; technical breaks may occur (maintenance, outages, third-party provider limitations).
  2. The provider's liability towards the Business is limited to actual damage and capped at the fees paid by the Business over the preceding 12 months; the cap does not apply to damage caused intentionally.
  3. The provider does not guarantee any specific business results (number of views, customers, or revenue) connected with presence in the App.

§11. Personal data

  1. The processing of personal data of persons acting on behalf of the Business (e.g. the sign-in e-mail address) is described in the Privacy Policy; the provider is the controller.
  2. Push campaigns (Premium + Geo and Premium + Geo + Hero plans) are directed to App users by the provider as the controller of their data; the Business does not receive App users' personal data — statistics are aggregate only.

§12. Changes to these terms

  1. The provider may amend these terms for important reasons (changes in law, changes to the service scope, security reasons). Businesses are informed of proposed changes by e-mail at least 30 days before they take effect.
  2. A Business that does not accept the changes may terminate the contract before they take effect. Changes are not retroactive and do not worsen the conditions of periods already paid for.

§13. Final provisions

  1. These terms apply to entrepreneurs only; consumer-protection provisions do not apply to contracts under these terms, subject to mandatory provisions on entrepreneurs with consumer rights, where applicable.
  2. Polish law applies; in matters not regulated here, the Polish Civil Code (consolidated text: Dz.U. 2025 item 1071) applies. The competent court is the court for the provider's registered office.
  3. The provider is a small enterprise within the meaning of the Annex to Commission Recommendation 2003/361/EC; under art. 11(5) and art. 12(7) of Regulation (EU) 2019/1150 the obligations to maintain an internal complaint-handling system and to designate mediators do not apply to it. Complaints are nevertheless handled under §9.
  4. These terms are available free of charge at citychat.pl/business-terms in a form that allows them to be obtained, reproduced, and stored. The English version is informational; the Polish version prevails.
